As a prerequisite for using the services of “BLC”,?? you will indemnify, defend, and hold harmless ???BLC,??? lenders and suppliers from and against any and all losses, costs, liabilities, damages, and/or expenses (including, without limitation, reasonable attorneys??? fees and expert witness fees) in connection with any claim,?? suit, action, judgment, or other proceeding as a result of you using our website and services, including without limitation any claims alleging facts that if true would constitute a breach by you of this Agreement.
NEITHER PARTY SHALL HAVE ANY LIABILITY HEREUNDER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES INCLUDING, WITHOUT LIMITATION, LOSS OF PROFIT OR BUSINESS OPPORTUNITIES, WHETHER OR NOT THE PARTIES WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.?? IN NO EVENT WILL THE TOTAL AGGREGATE LIABILITY OF EITHER PARTY FOR ANY CLAIMS, LOSSES OR DAMAGES ARISING OUT OF THIS AGREEMENT EXCEED THE TOTAL AMOUNT OF FEES AND OTHER CONSIDERATION RECEIVED BY OR DUE TO BLC UNDER THIS AGREEMENT.?? THE FOREGOING LIMITATION OF LIABILITY AND EXCLUSION OF CERTAIN DAMAGES SHALL APPLY REGARDLESS OF THE SUCCESS OR EFFECTIVENESS OF OTHER REMEDIES.
YOU, OR YOUR COMPANY, HEREBY AKNOWLEDGE THAT BLC MAKES NO, AND HEREBY SPECIFICALLY DISCLAIMS ANY, EXPRESS WARRANTIES, REGARDING THE PRODUCTS AND SERVICES CONTEMPLATED BY THIS AGREEMENT, HOWEVER BLC AKNOWLEDGES THAT ALL IMPLIED WARRANTIES PERTAINING TO THIS AGREEMENT REMAIN ENFORCEABLE.?? BLC DOES NOT WARRANTEE THE REPRESENTATIONS, ASSURANCES OR COMMITMENTS OF ANY INDIVIDUAL LENDER, OR THE SERVICES THEY CLAIM TO OFFER ON BEHALF OF ANY BORROWER ENLISTING THEIR SERVICES THROUGH THE BLC WEB SITE.
Any claim or controversy arising out of or relating to the use of the Websites, to the goods or services provided by ???BLC,??? or to any acts or omissions for which you may contend BLC is liable, including but not limited to any claim or controversy as to arbitrability (“Dispute”), shall be finally, and exclusively, settled by arbitration. The arbitration shall be held before one arbitrator under the commercial arbitration rules of the American Arbitration Association (“AAA”) in force at that time. The arbitration shall be venued in Montgomery County, Pennsylvania. The arbitrator shall be selected pursuant to the AAA rules.
As a result, you are giving up your right to go to court to resolve your dispute.?? In addition, you are also giving up your right to participate or bring class actions.?? Your rights will be determined by neutral arbitrators and not by a judge or jury.
CONFIDENTIAL INFORMATION:
For purposes of this Agreement, ???Confidential Information??? means all financial or credit information relating to the Borrower including without limitation and whether oral or written, information relating to the respective personal and business credit information (and all portions thereof), prospective business opportunities, assets, operations, finances, trade secret and proprietary information, techniques, inventions, innovations, business plans, financial information, business forecasts, manuals, ideas, concepts, business methods, know-how, processes, development, customer information, equipment, algorithms, software programs, software source documents, source code, object code and formulae related to the current, future and proposed products and services of Borrower.
Except as expressly permitted herein, or separately agreed to in writing signed by the Borrower, BLC shall keep confidential and not disclose to any third party or use for its own benefit, or for the benefit of any third party, any Confidential Information disclosed by the Borrower to BLC.?? BLC agrees to secure and protect the Confidential Information of the Borrower in the same manner as it would secure and protect its own Confidential Information and agrees to take appropriate action by instruction or agreement with its lenders who are permitted access to the Confidential Information.
